Version 2026-08-28r3 · not in force

Draft: not yet in force

This text is complete but is not yet in effect: the registered name of the operating company and its registered address for notices has not been recorded in it. An effective date will be published once that is done.

Notice of binding arbitration and class action waiver

THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A WAIVER OF THE RIGHT TO PARTICIPATE IN A CLASS ACTION AND TO A TRIAL BY JURY. SECTION 27 REQUIRES MOST DISPUTES BETWEEN THE PARTIES TO BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. THE USER MAY OPT OUT OF THAT PROVISION WITHIN THIRTY (30) DAYS OF FIRST ACCEPTING THIS AGREEMENT BY FOLLOWING THE PROCEDURE IN SECTION 27.7. SECTIONS 23 AND 24 LIMIT THE COMPANY’S LIABILITY AND DISCLAIM ALL WARRANTIES. SECTIONS 3, 6 AND 12 DISCLOSE THAT THE USER MAY LOSE MONEY, INCLUDING THE ENTIRE AMOUNT INVESTED.

This Agreement for use of the Service (this "Agreement") is entered into between KuantTrade (the "Company") and the party identified during the account registration process (the "User"). It takes effect upon the User's acceptance of it in the course of registration (the "Effective Date") and remains in force until terminated in accordance with Section 22.

This is a legally binding agreement. The User should read it in full before accepting it, and should not create an account or use the Service if the User does not agree to be bound by it.

1. Acceptance and scope of this Agreement

1.1 Acceptance.

The Company’s website may be browsed without an account, and doing so binds the visitor only to Sections 15, 18, 23 and 24 so far as they are capable of applying. The agreement to arbitrate in Section 27, the waiver of class proceedings within it and the choice of forum in Section 28 bind a person only upon express acceptance and never by reason of browsing alone. This Agreement in full takes effect on express acceptance: a person creates an account only by affirmatively indicating acceptance of it and of the Risk Disclosure Agreement during registration, and no account is created without that indication. By so indicating, and thereafter by using the KuantTrade website at https://kuanttrade.com, the KuantTrade application at https://app.kuanttrade.com, the Company's application programming interfaces and machine interfaces, the Company's mobile applications, or any related service made available by the Company (together, the "Service"), the User represents that the User has read this Agreement, agrees to be bound by it, and has the legal capacity to enter into it.

1.2 Incorporated documents.

The Risk Disclosure Agreement is incorporated into this Agreement by reference and forms part of it. The User expressly accepts this Agreement and the Risk Disclosure Agreement at registration, and at the same time acknowledges receipt of the Privacy Policy and the Cookie Policy. Those two are notices describing how personal data is handled and what is stored on the User’s device; acknowledging them is not consent to any processing, and the legal bases relied upon are stated in the Privacy Policy.

1.2b Status of the Privacy Policy and the Cookie Policy.

The Privacy Policy and the Cookie Policy are incorporated for the purpose of informing the User and of Section 19; they are not warranties. Where they identify a service provider, a storage location, a hashing algorithm, a retention period or a particular technical measure, they state the Company’s practice as at their version date. The Company may change that practice and will update those documents when it does, and a change so made is not of itself a breach of this Agreement.

Section 1.2b does not narrow the Company’s obligations under data protection law, does not affect the security commitments referred to in Sections 7.6 and 24.5, and does not permit the Company to describe a practice it does not follow.

1.3 Order of precedence.

In the event of a conflict, a written agreement signed by both parties prevails over this Agreement; this Agreement prevails over the incorporated documents, except that the Risk Disclosure Agreement prevails on any question concerning the risks of trading. The Privacy Policy and the Cookie Policy are notices rather than terms and prevail over this Agreement on no question. The KVKK notice published by the Company is a statutory notice owed under Turkish law, is not incorporated into this Agreement, and prevails over the Privacy Policy on any question of the processing of the personal data of a data subject resident in Türkiye; its Turkish text governs that notice, and Section 29.2 does not displace it.

1.4 Entity users.

An Account is either an Individual Account, held by a natural person for that person’s own trading, or an Entity Account, held by a corporation, partnership, trust or other entity. Where an Entity Account is registered, the individual accepting this Agreement (the "Account Owner") represents that the individual is authorised to bind that entity; the entity is the User and is bound by this Agreement. The Account Owner is personally liable for a breach of that representation of authority, and is not by reason of this Section personally liable for the entity’s other obligations under this Agreement.

2. Definitions

In this Agreement, the following capitalised terms have the meanings given below. Other terms are defined where they first appear.

3. General disclaimers regarding trading

3.1 Trading is risky.

TRADING AND INVESTING INVOLVE A SUBSTANTIAL RISK OF LOSS AND ARE NOT SUITABLE FOR EVERY PERSON. THE USER CAN LOSE MONEY. THE USER CAN LOSE THE ENTIRE AMOUNT INVESTED, AND IN MARGIN, SHORT AND CERTAIN OPTIONS POSITIONS THE USER CAN LOSE MORE THAN THE AMOUNT INVESTED AND BECOME INDEBTED TO A BROKER. THE USER SHOULD NOT TRADE WITH FUNDS THE USER CANNOT AFFORD TO LOSE IN THEIR ENTIRETY.

3.2 Past performance.

Past results, whether actual, simulated or obtained by backtesting, are not necessarily indicative of future results. This applies to every figure displayed anywhere in the Service or published by the Company, including strategy template statistics, rankings, scores and any figure appearing in the Company’s marketing.

3.3 No guarantee of results.

Neither the Service nor any content included in it is intended to be the sole or primary basis for any trading or investment decision. The Company does not guarantee that the User will attain any particular result, will realise a profit, will avoid a loss, or will recover any capital deployed.

3.4 No guarantee of transmission or execution.

The Company does not execute trades. The Company does not guarantee that any Signal, Order Instruction or other message will be received, will be transmitted, will be transmitted in sequence, will be transmitted within any period, will be accepted by a Broker, or will result in a fill at any price or at all.

3.5 Suitability.

The Company performs no suitability or appropriateness assessment and does not know the User’s income, net worth, obligations, experience, tax position or objectives. The determination that any instrument, Strategy or degree of automation is appropriate for the User is made by the User alone, and the Service will not prevent the User from acting in a manner unsuited to the User’s circumstances.

4. Nature of the Service; no advisory relationship

4.1 Description of the Service.

The Service is self-directed trading software. The User configures and controls the User’s own brokerage connections, trading parameters and automated Strategies, and the Service transmits Order Instructions generated by that configuration to the Broker the User has connected.

4.2 What the Company is not.

KuantTrade IS NOT A BROKER OR DEALER, IS NOT A REGISTERED INVESTMENT ADVISER, IS NOT AN EXCHANGE, IS NOT A BANK, IS NOT A MONEY TRANSMITTER, AND IS NOT A CUSTODIAN. THE COMPANY IS NOT A MEMBER OF FINRA, SIPC, THE NFA OR ANY EQUIVALENT BODY IN ANY JURISDICTION, AND NONE OF THE PROTECTIONS AFFORDED BY MEMBERSHIP OF SUCH BODIES APPLIES TO THE RELATIONSHIP BETWEEN THE COMPANY AND THE USER.

4.3 No advisory or fiduciary relationship.

Nothing in this Agreement, and nothing in the User’s use of the Service, creates an advisory, fiduciary, agency or discretionary relationship between the Company and the User. The Company does not manage accounts, does not exercise discretion over the User’s assets, and does not accept any mandate to trade on the User’s behalf beyond the transmission of Order Instructions generated by the User’s own configuration.

4.4 No custody.

The Company does not take custody of, hold, receive or control the User’s funds, securities or digital assets at any time. Those assets remain at the User’s Broker throughout.

4.5 No execution, clearing or settlement.

The Company does not act as the executing broker, as a trading venue, as a clearing broker or as a settlement agent, does not execute, clear or settle trades, and is not the counterparty to any transaction entered into by the User. The Company transmits Order Instructions to the Broker the User has connected, and that transmission is the whole of its role in the order path. A Broker determines, under its own agreement with the User, whether to accept an Order Instruction and whether, when and at what price to execute it.

5. No investment, legal, tax or accounting advice

5.1 No advice or recommendation.

NOTHING MADE AVAILABLE THROUGH THE SERVICE CONSTITUTES INVESTMENT ADVICE, A RECOMMENDATION, AN OPINION AS TO THE MERITS OF ANY TRANSACTION, OR A SOLICITATION OR OFFER TO BUY OR SELL ANY SECURITY, DERIVATIVE, DIGITAL ASSET OR OTHER INSTRUMENT. THE COMPANY EXPRESSES NO VIEW ON ANY INSTRUMENT, STRATEGY OR TRANSACTION.

5.2 Scope of Section 5.1.

Section 5.1 applies without limitation to: strategy templates and example configurations; screeners, scanners, filters, rankings, scores and discovery surfaces; backtest and simulation output; indicator values, marks, valuations and derived analytics; all Tool Output as defined in Section 10.1; and every article, chart, figure, document and other material published by the Company on its website or elsewhere.

5.2b Account context and the limits of personalisation.

Certain features answer a request by reference to data already held in the User’s Account. Where the User asks a question that cannot be answered without them, positions, balances, orders, Strategy configuration and recent activity may be used to compose the answer, as described in the Privacy Policy. Whether a given feature reads Account data, and for what purpose, is disclosed within that feature and in the Privacy Policy.

THE COMPANY DOES NOT OBTAIN OR ASSESS THE USER’S INCOME, NET WORTH, LIABILITIES OUTSIDE THE CONNECTED ACCOUNT, INVESTMENT EXPERIENCE, TAX POSITION, TIME HORIZON, OBJECTIVES OR RISK TOLERANCE, AND NO OUTPUT OF THE SERVICE IS AN OPINION AS TO WHAT IS SUITABLE OR APPROPRIATE FOR THE USER. THE USE OF ACCOUNT DATA TO ANSWER A REQUEST THE USER HAS MADE DOES NOT OF ITSELF CONSTITUTE AN ASSESSMENT OF THE USER’S BROADER FINANCIAL CIRCUMSTANCES, NOR A SUITABILITY OR APPROPRIATENESS DETERMINATION.

5.3 Defaults, generation and ranking.

Where the Service returns a set of instruments, structures, Strategies or parameters, the User is entitled to know precisely what has been done to produce it. The Service applies parameters and orderings which the Company has pre-set, including which structures are generated for a stated market expectation, which expiry is used where the User has named none, which candidates are retained after filtering, and the criterion by which the retained candidates are ordered. The Company does not represent that no selection occurs.

Those parameters are generic: they are the same for every User, and the Company does not choose them by reference to who the User is. They are not, however, the only input. A set is also a function of the market data available to the surface handling the request at the moment it is made, and the surfaces of the Service do not all read the market in the same way: one may compute from a periodically refreshed snapshot while another overlays live quotes, and on a surface where the User has connected a Broker, some of those live quotes are drawn from that User’s own market-data entitlement with that Broker.

Two requests naming the same instrument and the same expectation may therefore return different sets, whether made a moment apart, on different surfaces, or by different Users at the same instant. A difference arising in that way reflects the market data used and the User’s own entitlement to it. It is not an assessment the Company has made of either User, and the Company does not vary the parameters, the filtering or the ordering by reference to any User’s identity, positions, balances, portfolio or account history.

The component that generates, filters and orders a set is given the parameters described above and market data, and nothing further. It is not given the User’s positions, balances, buying power or account history, it is not told which Account the request came from, and it retains nothing between requests. That is a property of how the Service is built rather than a policy applied to it.

5.3b Sets composed for the User by an automated feature.

Where an AI feature composes such a request on the User’s behalf rather than the User stating it directly, that feature (not the User) chooses the parameters, including which structures are generated and the criterion by which the retained candidates are ordered. It may choose them in the same exchange in which it has read the Account under Section 5.2b, and the parameters it chooses may therefore reflect what it read there. What that feature composes is a request in the same form the User could have stated directly: the component described in the last paragraph of Section 5.3 receives no Account data in this case either. The parameters used are returned with the set so that the User can see what was asked. Sections 5.4 and 10.5 apply to such a set in full.

5.4 What such a set is not.

A SET PRODUCED UNDER SECTION 5.3 OR SECTION 5.3b IS NOT A RECOMMENDATION AND IS NOT AN ASSESSMENT OF MERIT FOR THE USER. THE GENERATION, FILTERING AND ORDERING OF EVERY SUCH SET IS PERFORMED UPON THE STATED PARAMETERS AND MARKET DATA ALONE, AND THE COMPONENT DESCRIBED IN SECTION 5.3 RECEIVES NO USER IDENTITY, POSITIONS, BALANCES, BUYING POWER, PORTFOLIO OR ACCOUNT HISTORY. SEPARATELY, AND WHATEVER A FEATURE MAY READ FROM THE ACCOUNT UNDER SECTION 5.2b, THE COMPANY DOES NOT OBTAIN OR ASSESS THE USER’S INCOME, NET WORTH, LIABILITIES OUTSIDE THE CONNECTED ACCOUNT, INVESTMENT EXPERIENCE, TAX POSITION, TIME HORIZON, OBJECTIVES OR RISK TOLERANCE, AND PERFORMS NO SUITABILITY OR APPROPRIATENESS ASSESSMENT. THE COMPANY EXPRESSES NO VIEW ON THE FUTURE PRICE OF ANY INSTRUMENT, ON THE LIKELIHOOD OF ANY OUTCOME, OR ON WHETHER ANY INSTRUMENT, STRUCTURE OR TRANSACTION IS APPROPRIATE FOR THE USER.

The two cases differ in where the parameters come from, and the User is entitled to know which one produced a given set. Where the User states the request directly, the parameters are the User’s own and no Account data enters the request at any point. Where an AI feature composes the request under Section 5.3b, the parameters are that feature’s and may reflect Account data it read in the same exchange; the set is still produced from those parameters and market data alone, and the User should read it as an answer composed in the light of what that feature was told and what it read, rather than as an assessment of the User. In neither case does the Company conduct a suitability or appropriateness assessment.

Where the Service associates a structure with a stated market expectation, it does so from a table the Company has pre-set which reads no market data and applies no forecast; the table follows the shape of each structure’s payoff at expiry, subject to a general preference of the Company which withholds certain structures of unlimited risk. That association is not a prediction.

Where results are ORDERED by a label such as "maximum profit", "lowest risk", "risk and reward" or "cheapest", that label describes an arithmetic property of each result’s modelled payoff at expiry under the assumptions stated in the Risk Disclosure Agreement. It is neither a statement of probability nor a forecast.

WHERE RESULTS ARE INSTEAD GROUPED OR LABELLED BY THE OBJECTIVE EACH WAS RETAINED TO ILLUSTRATE, INCLUDING LABELS SUCH AS "HIGHER PROBABILITY", "BETTER RISK AND REWARD", "BALANCED" AND "MATCHES YOUR VIEW", THAT LABEL, AND ANY PROBABILITY, PERCENTAGE OR MULTIPLE DISPLAYED WITH IT, IS DERIVED FROM AN IMPLIED-VOLATILITY MODEL OF THE UNDERLYING’S DISTRIBUTION AND FROM THE EXPECTATION THE USER STATED. IT IS A MODEL OUTPUT UNDER ASSUMPTIONS THAT MAY NOT HOLD. IT IS NOT A FORECAST OF WHAT WILL HAPPEN, NOT A STATEMENT OF THE LIKELIHOOD THAT THE USER WILL PROFIT, AND NOT AN ASSERTION THAT THE RESULT SO LABELLED IS PREFERABLE FOR THE USER OR FOR ANY PERSON.

5.5 Decisions are the User’s.

Every decision to enable a Strategy, to confirm a drafted order, to set or raise an automation setting, to size a position, to connect a Brokerage Account or to transmit an Order Instruction is made by the User alone, upon the User’s own judgement or upon that of a professional adviser the User has independently selected and engaged.

5.6 No legal, tax or accounting advice.

The Company and its personnel are not attorneys, accountants or tax advisers, and nothing in the Service constitutes legal, tax or accounting advice. Trading gives rise to tax consequences that differ by country, by instrument, by holding period and by person. The User is solely responsible for the User’s own reporting, withholding and filing obligations, and should obtain professional advice before relying upon any figure reported by the Service as a gain, a loss, a cost basis or a fee.

6. Automated trading and technical risks

By connecting the Service to a live Brokerage Account, or by enabling the automated transmission of Order Instructions, the User acknowledges that trading, investing and automation involve known and unknown technical and market risks, and that those risks are assumed by the User. The Risk Disclosure Agreement describes them in full. Without limiting that document, the User specifically acknowledges the following.

  1. Strategy design. A Strategy performs exactly what its configuration specifies, which may differ from what the User intended, and a Strategy that is valid and profitable in one market regime may produce a rapid sequence of losses in another.
  2. Configuration error. An incorrect symbol, quantity, side, expiry, threshold or schedule can cause live Order Instructions to be transmitted in a live account, and the Service is not capable of identifying such an entry as an error.
  3. Aggregation. Multiple Strategies acting on the same instrument may accumulate exposure beyond the amount the User intended for that instrument, and limits configured per Strategy do not aggregate across Strategies unless the User configures them to do so.
  4. Connectivity and availability. The User’s device, the User’s network connection, the public internet, the Company’s infrastructure, a data vendor, a Broker’s interface and an exchange gateway may each fail, and a failure may cause a Strategy not to enter, not to exit, to exit late, to act upon stale data, or to act more than once.
  5. Session expiry. Where a Broker requires periodic re-authentication, an expired session may halt automated activity without notice, and maintaining that authentication is the User’s responsibility.
  6. Execution. Market orders may fill at prices materially different from the last price displayed; limit orders may not fill; a stop is a trigger and not a guarantee; orders may be rejected, partially filled, duplicated, or filled after an attempted cancellation.
  7. Data. Prices, quotes, valuations and derived analytics may be delayed, stale, revised, incomplete or incorrect, and any value computed from them inherits every defect of its inputs.
  8. Continuous markets. Digital-asset markets trade continuously, including while the User is unable to intervene, and losses may accumulate faster than the User is able to respond to them.
  9. Controls. Position limits, kill switches, automation settings and confirmation requirements are software controls. They may fail and they may be misconfigured; they reduce neither the risk of loss nor the User’s responsibility for it.

The User is responsible for actively monitoring the User’s Brokerage Accounts, open positions and automated activity to confirm that they behave as the User intends, and for maintaining a means of contacting each Broker directly and independently of the Service.

7. Eligibility and registration

7.1 Age and capacity.

The Service is available only to persons who are at least eighteen (18) years of age and who are able to form a binding contract under the law applicable to them. The Service is not directed at children, and the Company does not knowingly permit any person under the age of eighteen to hold an Account.

7.2 Territory and legality.

The Company makes the Service available internationally but does not make it available everywhere, and availability is not a representation of legality. The User is responsible for determining whether the User’s use of the Service, and the trading conducted through it, is lawful in the country in which the User is resident and under any other law applicable to the User. Where it is not, the User must not use the Service.

7.3 Sanctions.

The User represents and warrants that the User is not located in, ordinarily resident in, or organised under the laws of any country subject to comprehensive economic sanctions administered by the United States, the European Union or the United Nations, and is not a person with whom dealing is prohibited under any applicable sanctions programme, including any list maintained by the United States Office of Foreign Assets Control. The Company may block, suspend or terminate access on sanctions grounds without notice.

7.4 Market access is determined by the Broker.

Which markets and instruments the User is able to trade is determined by the User’s Broker and not by the Company. A Broker may decline to open an account, decline a particular instrument, or restrict activity by reference to the User’s residence, tax status or investor classification. Nothing in this Agreement overrides such a restriction, and the Company gives no undertaking to obtain access to any market on the User’s behalf.

7.5 Registration information.

The User must provide accurate, current and complete information at registration and must keep that information up to date. Credentials are personal to one natural person in every case: an Individual Account is operated by its holder, and an Entity Account is operated by its Account Owner. The User must not create an Individual Account on behalf of another person, must not register more than one Individual Account without the Company’s written consent, and must not use another person’s credentials. Section 16.4 governs an entity’s use of the Service for its own proprietary trading.

7.6 Account security.

The User is responsible for maintaining the confidentiality of the User’s credentials, for enabling the security controls the Company makes available, and for activity resulting from a failure by the User to safeguard the User’s credentials or devices. The User is not responsible for unauthorised activity to the extent it results from a breach of the Company’s own security obligations or from a defect in the Company’s systems. The User must notify the Company without undue delay, at the address given in Section 30, upon becoming aware or suspecting that the User’s credentials have been compromised. The Company is not liable for Loss arising from unauthorised use of the Account except to the extent that such Loss results from the Company’s failure to meet the Security Commitments numbered in Section 10 of the Privacy Policy.

8. Brokerage Accounts and trading authorisation

8.1 Authorised brokerage use.

The User may connect a Brokerage Account to the Service only where the User is its owner or a joint owner, or where the User holds trading authority over it that the Broker has formally recognised and recorded. The User must not connect an account belonging to another person on the basis of credentials that person has shared, and must not share the User’s own credentials for the purpose of permitting another person to operate the Account. Breach of this Section 8.1 is a material breach of this Agreement.

8.2 Authorisation granted to the Company.

Upon connecting a Brokerage Account, the User authorises the Company, acting solely as the User’s technology provider and at the User’s direction, to read the data of that account and to transmit to that Broker the Order Instructions generated by the User’s own configuration. That authorisation is limited to what is necessary for the Service to perform the functions the User has configured. It is not discretionary authority, it does not extend to withdrawing or transferring funds, and the User may revoke it at any time by disconnecting the Brokerage Account within the Service, by revoking access at the Broker, or by closing the Account.

8.3 The Broker’s agreement governs.

The User’s relationship with each Broker is governed by the User’s agreement with that Broker and not by this Agreement. Margin, day-trading designation, options approval levels, position and exposure limits, buying power, settlement, assignment and exercise, corporate actions, market-data entitlements, commissions and fees are matters between the User and the Broker.

8.4 Margin and funding.

The User is solely responsible for maintaining sufficient cash, margin and buying power, for meeting any margin call, and for the consequences of failing to do so, including forced liquidation. The Company does not monitor the User’s account for margin adequacy and has no duty to warn the User in respect of it.

8.5 Broker acts and omissions.

The Company is not responsible for, and disclaims all liability arising from, any act or omission of a Broker, including outages, interface failures, authentication and session expiry, rate limiting, latency, rejected or delayed orders, incorrect fills, incorrect reporting of positions or balances, any change to or withdrawal of an interface, and the termination of the User’s relationship with that Broker.

9. User Strategies, Signals and webhooks

9.1 Authorship and responsibility.

The User is the author of the User’s Strategies and is responsible for their operation, including where a Strategy operates otherwise than as the User intended and including where the rule the User wrote is valid but produces an unintended result. The Company does not review Strategies for soundness, profitability or suitability, and the availability of a Strategy within the Service is not an endorsement of it.

9.2 Templates and library material.

Strategy templates, example configurations and material published in the Company’s library are illustrations of the manner in which the software may be configured. They are not recommendations, they are not maintained by reference to the circumstances of any User, and a template that behaved in a particular manner historically may behave differently in any future market.

9.3 External Signal sources.

Where the User causes a Strategy to be driven by a source outside the Service, that source forms part of the User’s trading system and the User is responsible for it, for the accuracy and timing of what it transmits, and for the consequences of its failure. Signals may arrive late, arrive more than once, arrive out of sequence, or fail to arrive.

9.3b Checks applied upon the webhook path.

An Order Instruction originating from an external Signal delivered by webhook does not pass through the pre-trade checks applied to an order drafted by an automated tool within the Service. The limits configured upon the Strategy receiving the Signal continue to apply. Section 5.1b of the Risk Disclosure Agreement states this as a risk, and the Company may change which checks apply upon which path, in which case this Section and that one will be amended together.

9.4 Webhook confidentiality.

A WEBHOOK ADDRESS IS A CREDENTIAL. ANY PERSON IN POSSESSION OF IT IS ABLE TO TRIGGER THE STRATEGY BEHIND IT, AND ORDER INSTRUCTIONS SO TRIGGERED ARE ORDER INSTRUCTIONS IN THE USER’S ACCOUNT. THE USER MUST KEEP EACH WEBHOOK ADDRESS CONFIDENTIAL AND MUST REGENERATE IT UPON ANY SUSPECTED DISCLOSURE.

9.5 Rate limiting.

The Company may impose rate limits and may reject, delay or discard Signals in order to protect the Service, and gives no guarantee of delivery or of sequence.

9.6 Supervision.

The User is responsible for monitoring the User’s Strategies and positions. The Service provides controls by which a Strategy may be disabled and activity halted, and the User should not operate automation the User is unwilling to supervise.

10. Automated analytical and drafting tools

10.1 Definition and function.

The Service includes automated tools that compute analytical values; that generate, filter and order sets of instruments, structures or parameters using criteria supplied or selected by the User, criteria pre-set by the Company as described in Sections 5.3 and 5.4, or a combination of both; that generate explanatory text concerning data already displayed; and that pre-populate the parameters of a Strategy or of an order from instructions the User supplies. Everything produced by such a tool is referred to in this Agreement as "Tool Output". Certain of these tools are implemented using large language models, including models operated by third parties, as described in the Privacy Policy.

10.2 Tool Output is not a recommendation.

NO TOOL OUTPUT IS A RECOMMENDATION, A SUGGESTION, AN OPINION, INVESTMENT ADVICE, OR A SOLICITATION OR OFFER TO BUY OR SELL ANY INSTRUMENT. THE COMPANY EXPRESSES NO VIEW ON THE FUTURE PRICE OF ANY INSTRUMENT, ON THE LIKELIHOOD OF ANY OUTCOME, OR ON WHETHER ANY INSTRUMENT, STRUCTURE OR TRANSACTION IS APPROPRIATE FOR THE USER; DOES NOT EXERCISE DISCRETION OVER ANY BROKERAGE ACCOUNT; AND PERFORMS NO SUITABILITY OR APPROPRIATENESS ASSESSMENT. SECTIONS 5.3 AND 5.4 DESCRIBE WHAT THE SERVICE DOES AND DOES NOT DO IN GENERATING, FILTERING AND ORDERING SUCH OUTPUT. TOOL OUTPUT IS PRESENTED SOLELY FOR THE USER’S OWN EVALUATION.

10.3 A drafted order is not an order.

Where the Service pre-populates the parameters of an order, the resulting draft has no effect and no Order Instruction is transmitted unless and until the User confirms it, or unless the User has separately configured a Strategy or an automation setting under which it is transmitted. Where the User confirms a draft, the resulting Order Instruction is the User’s Order Instruction, made upon the User’s own decision, and the User bears its outcome in full.

10.4 Automation settings.

WHERE THE USER CONFIGURES THE SERVICE SO THAT A CLASS OF ORDER INSTRUCTION IS TRANSMITTED WITHOUT INDIVIDUAL CONFIRMATION, EVERY ORDER INSTRUCTION TRANSMITTED UNDER THAT CONFIGURATION IS THE USER’S ORDER INSTRUCTION. THE OPERATIVE DECISION IS THE DECISION THE USER MADE IN ADOPTING THAT CONFIGURATION, AND THE USER BEARS ITS OUTCOME IN FULL.

10.5 Limitations of model-generated output.

Output generated by a language model may be fluent, internally consistent and incorrect. Such output may misstate a figure, a price, a position or a market fact; may respond to a request other than the one the User made; may be influenced by material it has read, including a webhook payload, a document or a third-party page; may differ between versions of the underlying model; and may be unavailable, truncated or degraded, including in the course of a single operation. Fluency is not evidence of accuracy. The User must verify Tool Output against the User’s own Brokerage Account before acting upon it.

10.6 Controls are not guarantees.

Automation settings, limits, kill switches and confirmation requirements are risk controls implemented in software. They may fail and they may be misconfigured. The User is responsible for the settings the User selects and for reviewing them following any change to the User’s Strategies, Brokerage Accounts or risk tolerance.

11. Machine interface credentials and Connected Clients

11.1 Credentials.

The Service exposes a machine interface. The User may generate credentials for it and may authorise a Connected Client to use those credentials within a scope the User selects.

11.2 Responsibility.

The User is responsible for every Connected Client the User authorises and for everything done under credentials the User issues, to the same extent as if the User had performed those acts personally. Before authorising a Connected Client the User should satisfy the User as to its operator, its treatment of the data it reads and the destination of that data. A Connected Client operated by a third party is a third-party service for the purposes of Section 20, and data leaves the Company’s systems when such a client reads it.

11.3 Scope and revocation.

The User should grant the narrowest scope sufficient for the intended purpose and should revoke access that is no longer required.

11.4 Records and Company remedies.

The Company records machine access to the Account, including the identity of the connecting client, the time of connection and the requests made, and makes that record available to the User. The Company may suspend or revoke credentials, decline a Connected Client, or impose limits where the Company reasonably considers it necessary to protect the Service, another user or the User.

12. Simulated Trading, backtesting and hypothetical performance

12.1 Hypothetical performance disclaimer.

HYPOTHETICAL AND SIMULATED RESULTS HAVE INHERENT LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING AND MAY NOT BE IMPACTED BY BROKERAGE AND OTHER SLIPPAGE FEES. BECAUSE THE TRADES HAVE NOT ACTUALLY BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS ARE GENERALLY DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.

12.2 Backtesting.

A backtest models fills rather than obtaining them; approximates or omits spread, slippage, partial fills, queue position, market impact, borrow availability and borrow cost; may fail to reproduce halts, gaps, auctions, limit states, venue outages and order rejections; may rely upon historical data that has since been revised or that is incomplete or incorrect; is exposed to survivorship and look-ahead bias; and reflects commissions, financing and taxes only to the extent the User has configured them. A configuration adjusted repeatedly against a single historical period describes that period and does not predict any other.

12.3 Simulated Trading.

Simulated Trading does not place capital at risk and does not reproduce live market conditions. Orders do not compete for liquidity, displayed prices need not reflect prices at which the User could have transacted, and behaviour under market stress is not tested. Results obtained in Simulated Trading are not evidence of the results the same configuration would have produced, or will produce, with live capital.

12.4 Published statistics.

Any statistic attached to a strategy template, ranking, discovery result or shared configuration is subject to Sections 12.1 to 12.3, is published for information only, and is neither a recommendation nor a forecast.

13. Market data

13.1 Source and accuracy.

Prices, quotes, bars, marks, fundamentals and derived analytics displayed within the Service are obtained from Brokers and third-party data vendors. The Company does not independently verify them and does not warrant that they are accurate, complete, timely or uninterrupted. Data may be delayed, stale, revised or absent, and any value the Company computes from such data, including a mark, an unrealised profit and loss figure, an indicator or an option sensitivity, inherits every defect of its inputs.

13.2 Permitted use.

Market data is made available for the User’s personal and internal use in operating the User’s own Account. The User must not redistribute, retransmit, republish or commercially exploit it. Additional terms imposed by an exchange or vendor may apply to the User directly, and the User’s market-data entitlements and any fees for them are matters between the User and the User’s Broker.

13.3 The Broker’s record governs.

The official record of the User’s positions, balances, orders and executions is the record maintained by the User’s Broker. Where the Service and the Broker differ, the Broker’s record governs, and the User should reconcile against it.

14. Fees, Subscriptions and payment

14.1 Plans and prices.

Parts of the Service may be made available without charge and parts by paid Subscription. The plans, their prices, their billing periods and their contents are those published on the Company’s pricing page at the time the User subscribes. Prices are exclusive of taxes unless stated otherwise, and the User is responsible for any sales tax, value-added tax, withholding or other tax applicable to the purchase.

14.2 Authorisation to charge.

By subscribing, the User authorises the Company and its payment processor to charge the User’s payment method the subscription fee for the current period and, unless cancelled, for each renewal period. Payment is processed by a third-party payment processor and the Company does not store the User’s full payment card number. The User must maintain a valid payment method for so long as a Subscription is active and authorises the Company to retry a failed charge and to update stored card details through the account-updater service operated by the User’s card network.

14.3 Automatic renewal and cancellation.

Subscriptions renew automatically at the end of each billing period at the then-current price for the plan until cancelled. The User may cancel at any time from the User’s account settings. Cancellation takes effect at the end of the billing period in which it is made; access continues until that date and no further charge is made.

14.4 Price changes.

The Company may change the price of a plan upon not less than thirty (30) days’ notice by electronic mail to the User’s registered address. A price change takes effect at the User’s next renewal following that notice period. The User’s remedy, if the User does not accept the change, is to cancel before that renewal.

14.5 Refunds.

Except where a refund is required by law, and except as expressly stated at the point of purchase, fees are non-refundable and no refund or credit is provided for a partial period, for a period during which the Service was not used, or for a Subscription cancelled before the end of its term. Where the law applicable to the User confers a right to withdraw from a distance contract within a cooling-off period, that right prevails over this Section 14.5 and the Company will honour it in accordance with that law.

14.6 Non-payment and chargebacks.

Where a charge fails, the Company may retry it, may suspend paid features and, after a reasonable grace period, may suspend or terminate the Subscription. Suspension for non-payment does not halt the consequences of activity already commenced at a Broker and does not close positions; the management of the User’s positions remains the User’s responsibility at all times. Where the User disputes a charge with the User’s card issuer rather than with the Company, the Company may suspend the Account until the dispute is resolved.

14.7 Billing enquiries.

Questions about an invoice, a charge or a Subscription should be sent to billing@kuanttrade.com. A dispute about a charge does not suspend the User's obligation to pay amounts not in dispute, and Section 14.6 applies where the User raises the matter with a card issuer instead of with the Company.

14.8 Trials and promotional pricing.

Where the Company offers a free trial or promotional price, the terms stated at the time of the offer apply. Unless otherwise stated, a trial converts to a paid Subscription at the end of the trial period at the standard price for the plan, and the User may prevent that conversion by cancelling before the trial ends.

15. Acceptable use

15.1 Prohibited conduct.

The User must not:

  • use the Service for any unlawful purpose, or in any manner that contravenes any securities, commodities, derivatives, digital-asset, sanctions, anti-money-laundering or tax law applicable to the User;
  • engage in or facilitate market manipulation, spoofing, layering, wash trading, front-running, insider dealing or any other abusive trading practice;
  • connect a Brokerage Account contrary to Section 8.1, or share credentials so as to permit another person to operate the Account;
  • access or attempt to access any part of the Service, any account, or any system or network operated by the Company, without authorisation;
  • probe, scan or test the vulnerability of the Service, or breach or circumvent any authentication, rate limit, quota or other security or usage control, except pursuant to a security-testing programme agreed with the Company in writing;
  • reverse engineer, decompile or disassemble any part of the Service, or attempt to derive its source code, save to the extent that such a restriction is unenforceable under law applicable to the User;
  • copy, frame, mirror, scrape or systematically extract the Service or its content otherwise than through interfaces provided for that purpose and within their published limits;
  • use the Service to develop, train or improve a competing product or a machine-learning model, or to benchmark it for publication, without the Company’s written consent;
  • resell, sublicense, lease or otherwise make the Service available to a third party, or operate it as a service for others, save under a written agreement with the Company;
  • upload or transmit malicious code, or anything designed to interrupt, damage or limit the functioning of software, hardware or telecommunications equipment;
  • impose an unreasonable or disproportionate load upon the Company’s infrastructure, or interfere with any other user’s use of the Service;
  • impersonate any person or entity or misrepresent any affiliation;
  • remove, obscure or alter any proprietary notice within the Service; or
  • encourage or assist any third party in any of the foregoing.

15.2 Consequences.

Breach of Section 15.1 is a material breach of this Agreement and may result in immediate suspension or termination under Section 22, in addition to any other remedy available to the Company.

16. Self-directed use; prohibited third-party services

16.1 Purpose of this Section.

The Service is provided for the User’s own self-directed trading. This restriction is structural rather than commercial: it is a condition of the Company’s position as a software provider rather than a regulated adviser, and use that undermines it exposes both parties.

16.2 Prohibited arrangements.

The User must not:

  • permit any third party to configure, operate, monitor or manage the Account or the User’s Strategies on the User’s behalf as a personalised service, whether for consideration or otherwise;
  • use the Service to configure, operate, monitor or manage another person’s account or strategies as a personalised service;
  • hold the User out as managing money, offering discretionary trading or providing personalised investment advice by means of the Service, unless the User is licensed to do so and has notified the Company in writing;
  • enter into any profit-sharing, performance-fee or similar arrangement with a third party in relation to activity conducted through the Account; or
  • pool the funds of other persons in an account connected to the Service.

16.3 Permitted standardised services.

For the avoidance of doubt, Section 16.2 does not prohibit the User from subscribing to a standardised third-party signal service that transmits the same Signals to every subscriber upon the same terms and connecting it to the User’s own Strategies. It prohibits arrangements under which a person exercises judgement in respect of the User’s particular account.

16.4 Entity proprietary trading.

Section 16.2 does not prohibit an entity from using the Service for its own proprietary trading, provided that the entity does not trade the funds of other persons through the Account. The Service does not presently provide multi-user access: an Entity Account is operated by its Account Owner alone, the entity is responsible for that person’s acts and omissions in operating it, and credentials must not be shared with any other individual. Where the Company makes multi-user access available, the roles and the responsibility for them will be set out at that time.

17. User Content and feedback

17.1 Ownership.

As between the parties, the User retains ownership of User Content. The Company claims no ownership of the User’s Strategies, data or other material brought to or created within the Service.

17.2 Licence to the Company.

The User grants the Company a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display and process User Content, and to create derivative works of it, in each case solely to the extent necessary to operate, secure, support and improve the Service for the User, to comply with law, and to perform the functions the User has configured. That licence terminates upon deletion of the User Content, save in respect of copies retained in backups for the period stated in the Privacy Policy and copies the Company is required by law to retain.

17.3 Aggregated and de-identified data.

The Company may create and use aggregated and de-identified data derived from use of the Service, being data from which neither the User nor the Account can reasonably be re-identified, for analytics, security, capacity planning, research and product development, including after the Account is closed. The Company will not publish or sell identifiable User Content, positions or trading activity.

17.4 Published material.

Where the User elects to publish material through the Service, the User is responsible for it, warrants that the User has the right to publish it, and grants the Company a licence to display and distribute it through the Service for so long as it remains published. The Company may remove published material that breaches this Agreement or any law.

17.5 Feedback.

Where the User transmits feedback, suggestions or ideas concerning the Service to the Company, the User grants the Company an unrestricted, perpetual, irrevocable, royalty-free right to use them for any purpose without obligation or attribution. The User should not transmit feedback the User is unwilling to have used upon those terms.

18. Proprietary rights

18.1 Company property.

The Service, including its software, models, interfaces, designs, documentation, databases, and the KuantTrade name and logo, is owned by the Company or its licensors and is protected by copyright, trade mark, trade secret and other laws. Save for the licence granted by Section 18.2, no right in it passes to the User.

18.2 Licence to the User.

Subject to the User’s compliance with this Agreement and, where applicable, payment of the Subscription, the Company grants the User a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Service for the User’s own trading and, where the User has registered as an entity, for that entity’s own proprietary trading. Any other use requires the Company’s written consent.

18.2b Third-party names, marks and logos.

The names, trade marks, service marks and logos of every broker, exchange, trading venue, data provider and software product referred to by the Service or by the Company’s website belong to their respective owners. Where the Company uses one, it does so solely to identify a connection the Service supports or a technical compatibility it offers, in the descriptive sense permitted by the applicable law of trade marks. The Company is an independent third party. It is not affiliated with, endorsed by, sponsored by, certified by or authorised by any of those persons, and nothing in the Service or on the Company’s website is to be read as a representation to the contrary. Section 15.2 of the Risk Disclosure Agreement states the same point about what an integration is not.

18.3 Notices of alleged infringement.

A person who believes that material available through the Service infringes that person’s copyright may send a notice to legal@kuanttrade.com identifying the work, identifying the material and its location, providing contact details, and stating that the person believes in good faith that the use is unauthorised and that the information in the notice is accurate. The Company responds to notices properly made, including notices under the United States Digital Millennium Copyright Act, and may terminate the accounts of repeat infringers.

19. Privacy and data protection

19.1 Privacy Policy.

The Company’s treatment of personal data is described in the Privacy Policy, which forms part of this Agreement and states what is collected, for what purposes, upon what legal bases, by whom it is processed, for how long it is retained, where it is stored, and the rights the User holds in respect of it. The Cookie Policy describes the cookies and equivalent technologies employed by the Company’s websites.

19.1b The Company’s confidentiality obligation.

The Company will keep confidential the User’s Account data, the content of the User’s Strategies and drafts, the data the Company reads from a connected Brokerage Account, and any credential the User supplies, and will not disclose any of them to a third party except: to a provider engaged to operate the Service and bound to equivalent confidentiality; to a Broker or Connected Client to the extent necessary to perform what the User has configured; where the User directs it; where it is required by law, by a regulator or by an order of a court or tribunal, in which case the Company will give the User notice where it is lawful and practicable to do so; and in aggregated or anonymised form from which the User cannot be identified. This Section 19.1b is what Section 24.5 refers to as the Company’s confidentiality obligations, and nothing else in this Agreement is.

19.2 Transmission to third parties.

The User acknowledges that the Service transmits data concerning the Account to third parties in order to function, namely to the Brokers the User has connected, to the model providers underlying the tools described in Section 10 where the User uses those tools, to the Company’s infrastructure, electronic mail and payment providers, and to any Connected Client the User has authorised. Each category is identified in the Privacy Policy.

20. Third-party services

20.1 Interoperation.

The Service interoperates with services the Company does not control, including Brokers, exchanges, market-data vendors, signal providers, payment processors, model providers and Connected Clients authorised by the User. The User’s use of any such service is governed by that party’s terms and privacy policy and is a matter between the User and that party.

20.2 No endorsement or warranty.

The Company does not endorse and does not warrant any third-party service, content or product, and is not responsible for its availability, accuracy, security or conduct or for any Loss arising from it. A third party may change, restrict, price or withdraw its service at any time, which may degrade or disable a feature of the Service, and the Company gives no undertaking to replace it.

20.3 Links.

A link to an external website is provided for convenience, does not constitute an endorsement, and the Company is not responsible for the material to which it leads.

21. Availability, modification and support

21.1 No availability guarantee.

The Company does not warrant that the Service will be uninterrupted, timely, secure or error-free. The Service may be unavailable by reason of maintenance, incident, the failure of a third party upon which it depends, or circumstances beyond the Company’s control. Save where the Company has separately agreed a written service-level commitment with the User, no availability figure published anywhere constitutes a contractual guarantee.

21.2 Modification of the Service.

The Company may modify, add to or remove features of the Service. Where the Company discontinues a feature and the change is material and adverse to the User, the Company will give reasonable notice by electronic mail or within the Service, and the User’s remedy is to cancel the Subscription in respect of the period following the change.

21.3 Support.

Support is provided through the channels the Company publishes, upon a commercially reasonable-efforts basis, in the languages the Company publishes. Nothing stated in the course of support constitutes advice as to what the User should trade, and no member of the Company’s personnel may exercise judgement in respect of the User’s positions.

21.4 Positions persist through unavailability.

WHERE THE SERVICE IS UNAVAILABLE, THE USER’S OPEN POSITIONS AND WORKING ORDERS REMAIN AT THE BROKER AND CONTINUE TO CARRY RISK. A STRATEGY THAT WOULD OTHERWISE HAVE EXITED A POSITION MAY FAIL TO DO SO. THE USER MUST MAINTAIN THE ABILITY TO CONTACT EACH BROKER DIRECTLY, THROUGH THAT BROKER’S OWN PLATFORM OR TELEPHONE FACILITY, AND REMAINS RESPONSIBLE FOR MANAGING POSITIONS WHILE THE SERVICE IS UNAVAILABLE.

22. Suspension and termination

22.1 Termination by the User.

The User may cease using the Service at any time and may close the Account from the User’s account settings or by written notice to the Company. Closure cancels the Subscription with effect from the end of the current billing period and confers no right to a refund save as provided in Section 14.5.

22.2 Suspension and termination by the Company.

The Company may suspend or terminate the User’s access to all or part of the Service, with immediate effect where the circumstances require, upon any of the following: breach of this Agreement; reasonable suspicion of fraud, abuse, manipulation or unlawful activity; requirement of law, of a regulator or of a court; termination or restriction by a Broker of its relationship with the User such that continued service is inappropriate; non-payment; exposure of the Company or another user to material risk; or cessation by the Company of the provision of the Service in the User’s country. Where the breach is capable of remedy and the circumstances permit, the Company will identify it and allow a reasonable opportunity to remedy it before terminating.

22.2b Effect of suspension upon running Strategies and open positions.

SUSPENSION UNDER SECTION 14.6 OR SECTION 22.2 HALTS THE OPERATION OF THE SERVICE FOR THE USER IN THE SAME MANNER AS TERMINATION. A SUSPENDED STRATEGY DOES NOT ENTER, DOES NOT EXIT AND DOES NOT MANAGE A POSITION IT HAD OPENED, AND ANY POSITION IT WAS MANAGING REMAINS OPEN AT THE BROKER AND EXPOSED TO THE MARKET. SUSPENSION CLOSES NO POSITION AND CANCELS NO WORKING ORDER.

Because of that consequence, the Company will notify the User at the address on the Account upon suspending an Account, and, except where the suspension is on sanctions grounds, where it is required by law or an order, or where continued operation presents an immediate risk of loss or of harm to another person, the Company will give the User not less than seven (7) days’ notice before suspending on the ground of non-payment. Section 22.4 applies to a suspension as it applies to a termination, and the User remains responsible for reviewing open positions and working orders directly with each Broker.

22.3 Termination for convenience.

The Company may terminate this Agreement for convenience upon thirty (30) days’ written notice, in which case it will refund the unused portion of any Subscription fee paid in advance.

22.4 Effect upon positions.

TERMINATION HALTS THE OPERATION OF THE SERVICE. IT DOES NOT CLOSE THE USER’S POSITIONS, DOES NOT CANCEL WORKING ORDERS AT A BROKER, AND DOES NOT TERMINATE THE USER’S EXPOSURE TO THE MARKET. UPON TERMINATION THE USER’S STRATEGIES ARE DISABLED AND ANY POSITION THEY WERE MANAGING REMAINS AS IT STANDS. THE USER IS RESPONSIBLE FOR REVIEWING AND MANAGING THE ACCOUNT AT EACH BROKER IMMEDIATELY.

22.5 Consequences and survival.

Upon termination the licence granted by Section 18.2 ends and the right of access ceases. The Company will retain and delete data as described in the Privacy Policy, and the User should export any material the User wishes to retain before closing the Account. Sections 3, 5, 11, 12, 13, 14, 17, 18, 19, 23, 24, 25, 27, 28 and 29, and any other provision which by its nature should survive, survive termination. Section 14 survives so that fees accrued before termination remain payable.

23. Disclaimer of warranties

23.1 Service provided as is.

THE SERVICE, INCLUDING ALL CONTENT, DATA, MODELS, ANALYTICS, TEMPLATES AND TOOL OUTPUT MADE AVAILABLE THROUGH IT, IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

23.2 Specific disclaimers.

WITHOUT LIMITING SECTION 23.1, THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL MEET THE USER’S REQUIREMENTS; THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; THAT ANY DEFECT WILL BE CORRECTED; THAT ANY DATUM, PRICE OR CALCULATION WILL BE ACCURATE, COMPLETE OR CURRENT; THAT ANY SIGNAL, ORDER INSTRUCTION OR MESSAGE WILL BE DELIVERED, DELIVERED IN SEQUENCE OR DELIVERED IN TIME; OR THAT ANY STRATEGY, TEMPLATE, BACKTEST, SIMULATION OR TOOL OUTPUT WILL BE PROFITABLE, SUITABLE FOR THE USER OR FREE FROM ERROR.

23.3 Mandatory law.

Certain jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions this Section 23 applies to the fullest extent permitted, and nothing in this Agreement excludes a warranty or right which cannot lawfully be excluded, including any statutory guarantee conferred upon consumers.

24. Limitation of liability

24.1 Exclusion of indirect damages.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE COMPANY NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS OR SUPPLIERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST TRADING GAINS, TRADING LOSSES, LOST OPPORTUNITY, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

24.2 Aggregate cap.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY THE USER TO THE COMPANY FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE FIRST SUCH CLAIM AND (B) ONE HUNDRED UNITED STATES DOLLARS (USD 100).

24.2b Higher cap where the Service departed from the configuration.

Section 24.3 excludes trading losses, and it carves out Loss arising because the Service departed from the User’s own configuration. Sending that carve-out back to the cap in Section 24.2 would have left an order the User never configured limited to one hundred dollars, which is not a limitation the Company is willing to rely upon for its own defect. For a claim of that description, and for that description alone, the cap in Section 24.2 is replaced by the greater of (a) the total amount paid by the User to the Company for the Service in the twelve (12) months immediately preceding the event and (b) two thousand five hundred United States dollars (USD 2,500). Every other limitation in this Section 24 continues to apply, and this Section confers no right in respect of a Strategy that operated as configured.

24.3 Trading losses.

Without limiting Sections 24.1 and 24.2, and subject to Section 24.5, the Company is not liable for trading losses. That includes Loss arising from a Strategy operating as the User configured it, including where the configured behaviour was not what the User intended, a Signal that did or did not arrive, an Order Instruction that was delayed, rejected, duplicated or not transmitted, a draft the User confirmed, an automation setting the User adopted, a Connected Client the User authorised, a datum that was incorrect or stale, an interruption of the Service or of a third party, and any act or omission of a Broker. Loss arising because the Service departed from the User’s configuration is not within this Section 24.3 and is governed by Sections 24.1, 24.2b and 24.5.

24.4 Allocation of risk.

The limitations in this Section 24 constitute an agreed allocation of risk between the parties and are a basis of the bargain: the Service is offered at the price at which it is offered by reason of them. They apply notwithstanding the failure of any limited remedy of its essential purpose.

24.5 Mandatory law.

Nothing in this Agreement excludes or limits liability which cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, under mandatory consumer-protection law, and, to the extent the law applicable to the User does not permit their exclusion, liability arising from the Company’s own gross negligence or wilful misconduct, from a breach by the Company of its confidentiality obligations under Section 19.1b, or from a failure by the Company to meet the Security Commitments numbered in Section 10 of the Privacy Policy. Where the User is a consumer resident in a jurisdiction which prohibits any of these limitations, they apply only so far as that law permits.

25. Indemnification

25.1 Indemnity.

The User shall defend, indemnify and hold harmless the Company and its affiliates, officers, directors, employees and agents from and against any third-party claim, and any resulting Loss, to the extent arising out of: the User’s breach of this Agreement; the User’s violation of any law applicable to the User, including the regulatory or tax consequences of the User’s trading activity; the User’s infringement of the rights of a third party, including in User Content; the User’s use of the Account in a manner prohibited by Section 8.1 or Section 16.2; or any act or omission of a Connected Client the User authorised. This indemnity does not extend to any claim to the extent it arises from the Company’s own act or omission, and where the User is a consumer it applies only so far as the law applicable to the User permits.

25.2 Conduct of claims.

The Company will notify the User of any claim to which Section 25.1 applies. The User may control its defence with counsel of the User’s choosing, provided that the User may not settle a claim in a manner imposing an obligation or admission upon the Company without the Company’s written consent, and the Company may participate at its own expense. This Section 25 survives termination.

26. Amendment of this Agreement

26.1 Amendment.

The Company may amend this Agreement. Upon amendment the Company will publish the amended version, bearing a new version identifier and effective date, at the address at which this Agreement is published.

26.2 Material amendments.

Where an amendment is material the Company will give not less than thirty (30) days’ notice before it takes effect, by electronic mail to the User’s registered address and within the Service, and will request the User’s acceptance of the amended version. Where the User does not accept a material amendment, the User’s remedy is to cease using the Service and to close the Account before the amendment takes effect, and the Company will refund the unused portion of any Subscription fee paid in advance in respect of the period following that date. Continued use of the Service after an amendment takes effect constitutes acceptance of it.

26.3 No retroactive effect.

An amendment does not apply retroactively to a dispute of which the Company had notice before the amendment took effect.

27. Dispute resolution; binding arbitration; class action waiver

Please read this Section carefully

THIS SECTION AFFECTS THE PARTIES’ LEGAL RIGHTS. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND WAIVES THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. THE USER MAY OPT OUT WITHIN THIRTY (30) DAYS UNDER SECTION 27.7.

27.1 Informal resolution.

Before commencing an arbitration or a court proceeding, the initiating party shall give the other written notice of the dispute, describing it and the relief sought, and shall allow sixty (60) days for informal resolution. Notice to the Company shall be given at legal@kuanttrade.com. This step is a condition precedent to the commencement of any proceeding, and the period in Section 27.9 is suspended while it runs.

27.2 Agreement to arbitrate.

Where a dispute is not resolved informally, the parties agree that any dispute, claim or controversy arising out of or relating to this Agreement or the Service, including its formation, interpretation, breach, termination, validity and enforceability, and including claims which arose before the User accepted this Agreement, shall be resolved by final and binding individual arbitration and not in court, save as provided in Sections 27.7 and 27.8.

27.3 Forum, rules and seat.

The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect at the time the arbitration is commenced, before a single arbitrator. The seat shall be New Castle County, Delaware. Where the User is a consumer, the User may elect that the arbitration be conducted entirely upon documents, by telephone or by video conference, and any hearing held in person shall take place in the county or equivalent district in which the User resides or at such other place as the parties agree. The arbitrator shall determine all issues, including the scope and enforceability of this Section 27, save that a court shall determine the enforceability of Section 27.5.

27.4 Costs.

Filing and arbitration fees shall be allocated under the rules of the forum. Where the User is a consumer bringing a claim and those rules would require the User to pay a fee exceeding the cost of filing the same claim in a court of general jurisdiction where the User resides, the Company shall pay the difference. Each party shall otherwise bear its own legal fees, save where the arbitrator awards them under a statute or rule so permitting.

27.5 Class action waiver.

ARBITRATION SHALL BE INDIVIDUAL. THE PARTIES EACH WAIVE ANY RIGHT TO COMMENCE OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING.

Where this Section 27.5 is held unenforceable as to a particular claim or a particular request for relief, that claim or request shall be severed and heard in the court identified in Section 28, and the remainder of the dispute shall remain in arbitration.

27.6 Jury trial waiver.

TO THE EXTENT ANY CLAIM IS HEARD IN COURT RATHER THAN IN ARBITRATION, THE PARTIES EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.

27.7 Opt-out.

The User may opt out of Sections 27.2 to 27.6 by written notice given within thirty (30) days of the date upon which the User first accepted this Agreement. The notice shall be sent to legal@kuanttrade.com bearing the subject line "Arbitration Opt-Out" and shall state the User's name, the electronic mail address associated with the Account, and that the User is opting out of arbitration. Opting out does not affect any other provision of this Agreement and shall not disadvantage the User in any respect. Where the User opts out, disputes shall be resolved in the courts identified in Section 28.

27.8 Small claims and injunctive relief.

Either party may bring an individual claim in a small-claims court of competent jurisdiction in place of arbitration, provided the claim remains in that court and remains individual. Either party may also apply to any court of competent jurisdiction for interim or injunctive relief to protect intellectual property or confidential information, and such an application does not constitute a waiver of this Section 27.

27.9 Limitation period.

Any claim arising out of or relating to this Agreement or the Service must be commenced within one (1) year after the claim accrues, except where the law applicable to the User does not permit a limitation period to be shortened by agreement, in which case the period prescribed by that law applies in place of this Section and this Section has no effect. A claim commenced thereafter is permanently barred.

27.10 Survival and severability.

This Section 27 survives termination of this Agreement and closure of the Account. Where any part of it other than Section 27.5 is held unenforceable, that part shall be severed and the remainder shall continue to apply.

28. Governing law and venue

28.1 Governing law.

This Agreement, and any dispute arising out of or relating to it or to the Service, shall be governed by the laws of the State of Delaware, United States, and by the United States Federal Arbitration Act in respect of Section 27, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

28.2 Venue.

Subject to Section 27, the parties submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware in respect of any dispute not subject to arbitration, and each waives any objection to venue or upon the ground of forum non conveniens in those courts.

28.3 Consumers.

Where the User is a consumer, this Section 28 does not deprive the User of the protection of the mandatory law of the country in which the User is habitually resident, nor of any right to bring proceedings in the courts of that country where such right cannot be excluded by agreement.

29. General provisions

29.1 Entire agreement.

This Agreement, together with the documents incorporated by Section 1.2 and any order form or written agreement executed by both parties, constitutes the entire agreement between the parties in respect of the Service and supersedes all prior understandings concerning it.

29.2 Language.

This Agreement is written in English and the English text is authoritative. The Company may publish translations for convenience; where a translation differs from the English text, the English text governs, save where mandatory law applicable to the User provides otherwise.

29.3 Assignment.

The User may not assign or transfer this Agreement or any right under it without the Company’s written consent, and any purported assignment is void. The Company may assign it to an affiliate or in connection with a merger, acquisition or sale of assets upon notice to the User.

29.4 Severability.

Where any provision is held invalid or unenforceable, it shall be modified to the least extent necessary to render it enforceable, or severed where it cannot be, and the remainder of this Agreement shall continue in force.

29.5 No waiver.

A failure or delay in enforcing a provision does not constitute a waiver of it, and a waiver upon one occasion does not constitute a waiver upon another. A waiver is effective only where given by the Company in writing.

29.6 Force majeure.

Neither party is liable for a failure or delay in performance caused by circumstances beyond its reasonable control, including natural disaster, war, terrorism, civil unrest, epidemic, labour dispute, act of government or regulator, market-wide halt or disruption, failure of a public telecommunications or power network, cyber-attack, and failure of a third-party service upon which the Service depends. This Section does not excuse an obligation to pay money already due.

29.7 Independent contractors.

Nothing in this Agreement creates a partnership, joint venture, agency, fiduciary or employment relationship between the parties.

29.8 Third-party beneficiaries.

This Agreement is for the benefit of the parties only, save that the Company’s affiliates, officers, directors, employees, agents, licensors and suppliers may enforce Sections 23, 24 and 25.

29.9 Notices and electronic communications.

The User consents to receive communications from the Company electronically and agrees that electronic mail to the User’s registered address, or a notice posted within the Service, satisfies any requirement that a communication be in writing. The User shall keep that address current; a notice sent to the address associated with the Account is effective upon dispatch. Legal notices to the Company shall be given at the address stated in Section 30.

29.10 Interpretation.

Headings are for convenience and do not affect interpretation. "Including" means "including without limitation". The singular includes the plural and the plural the singular.
